R. Randall (Randy) MacEwen, BA, LLB President & CEO
R. Randall MacEwen was appointed as President and Chief Executive Officer and as a member of the Board of Directors of Solar Integrated in December 2006. He previously served as the Company s Interim CEO from July 2006 to December 2006, and as Executive Vice President, Corporate Development from September 2005 to July 2006. Prior to joining Solar Integrated, Mr. MacEwen was Vice President, Corporate Development, General Counsel and Corporate Secretary of Hydrogenics Corporation (NASDAQ: HYGS and TSX:HYG), an alternative energy company, from January 2005 to July 2005, where he co-lead the integration of Stuart Energy Systems Corporation (formerly TSX:HHO) after its acquisition by Hydrogenics in January 2005. Mr. MacEwen served as Vice President, Corporate Development, General Counsel, and Corporate Secretary of Stuart Energy from October 2001 to January 2005. During his tenure at Stuart Energy, Mr. MacEwen led that company's strategic planning, strategic relationships, corporate finance, mergers and acquisitions, legal, investor relations and human resources activities. Mr. MacEwen led Stuart Energy's CDN $150 million initial public offering on the Toronto Stock Exchange, its CDN $28 million acquisition and integration in 2003 of its largest European-based competitor, its CDN $24 million follow-on public equity offering in 2004, and its CDN $155 million sale to Hydrogenics Corporation in January 2005. Prior to joining Stuart Energy, Mr. MacEwen practiced corporate and securities law with Torys LLP, a leading North American business law firm, where he specialized in corporate finance, mergers and acquisitions, and corporate governance matters from 1995 to 2001. Mr. MacEwen is a member of the Board of Directors of the Solar Energy Industries Association. Mr. MacEwen resides in Newport Beach, California with his wife and son.
Jim Balas, BSc, CPA
Interim Chief Financial Officer
Jim Balas joined Solar Integrated in March 2006 as Vice President, Finance. From 2003 to February 2006, Mr. Balas was Director of Finance and Corporate Development for Keystone Automotive Industries, Inc. (NASDAQ: KEYS), the leading U.S. distributor of aftermarket automobile collision replacement parts, where he was responsible for strategic planning, budgeting, mergers and acquisitions, and Sarbanes-Oxley compliance. From 1998 to 2003, Mr. Balas was a Senior Manager, Corporate Development for Capgemini (and previously Ernst & Young Consulting), a leading provider of consulting, technology and outsourcing services. From 1993 to 1998, Mr. Balas served as an auditor for Ernst & Young LLP. Mr. Balas is a Certified Public Accountant, and holds a Bachelor of Science, Business Administration with a concentration in Accounting from California State University, Long Beach. He has a Master Business Administration from the University of Southern California.
Robert W. Campbell, MBA, BSc, P. Eng
Executive Vice President, Sales and Marketing
Robert W. (Rob) Campbell joined Solar Integrated in December 2005 and is responsible for driving global sales growth and marketing for the Company. Prior to joining Solar Integrated, Mr. Campbell was Vice President, Sales and Marketing for the power and hydrogen generation division of Hydrogenics Corporation, an alternative energy company. During his tenure at Hydrogenics, Mr. Campbell developed and executed a business development and sales strategy that led to increased market share in existing and emerging markets. Prior to joining Hydrogenics, Mr. Campbell was Vice President, Sales and Marketing for Stuart Energy Systems Corporation, an alternative energy company, from November 2001 to January 2005. During his period at Stuart Energy, Mr. Campbell increased sales over 400%, and successfully expanded that company s business into Europe, Asia and other target markets, managing customer relationships for more than 1,000 customers in over 100 countries. Mr. Campbell has also worked as Vice President, Marketing for Skyjack, a manufacturer of aerial work platforms, and as Divisional Manager of Power Systems for Hubbell Canada, a manufacturer of power transmission and distribution products, and in a number of key executive positions in sales and marketing for GEC Alsthom, a power generation and manufacturing company, where he held a number of key executive positions in sales and marketing. Mr. Campbell holds BSc Engineering and MBA degrees, and is a professional engineer.
Randall E. Jurisch, BS ChE, Vice President, Manufacturing and Product Development
Randall (Randy) E. Jurisch joined Solar Integrated in August 2005 as Director of Manufacturing, and was promoted to Vice President, Manufacturing and Product Development in April 2006. With a broad manufacturing, engineering and product development background, Mr. Jurisch is responsible for high quality, low cost product manufacturing. With over 20 years leadership experience with both large and start-up companies, Mr. Jurisch brings experience tailoring large organization business systems and best practices to start-up and growth companies. Prior to joining Solar Integrated, Mr. Jurisch founded and led a renewable energy consulting firm from 2002 to August 2005, during which time he developed a volume manufacturing and cost reduction strategy for a solar renewable energy business. From 1999 to 2002, Mr. Jurisch served as Vice President, Operations for ReliOn (formerly Avista Labs), a developer of modular PEM fuel cells, where he led ISO quality, growth and cost reduction initiatives. From 1990 to 1999, Mr. Jurisch was Director of Operations for Advanced Silicon Materials, U.S. subsidiary of Komatsu, a world leader in semiconductor materials manufacture, where he led operations, engineering and quality. During his tenure with Advanced Silicon Materials, Mr. Jurisch doubled manufacturing capacity and transitioned the product to a higher margin profile. From 1975 to 1990, Mr. Jurisch served in a variety of manufacturing, engineering and product development functions for Union Carbide Corporation, a global specialty chemicals company.
Randall B. Corey Vice President, Construction Operations and Supply Chain Management
Randall (Randy) B. Corey joined Solar Integrated in February 2006 as Vice President, Construction Operations and Supply Chain Management. With over 25 years of experience in construction, electrical, engineering, project management, manufacturing, and supply chain management, Mr. Corey is responsible for the Company s construction and installation operations and supply chain management. Prior to joining Solar Integrated, Mr. Corey was Director of Manufacturing Operations and Procurement for FTI International, a manufacturer of alternative fuel compressors and dispensers, from 2004 to January 2006. From 2001 to 2004, Mr. Corey served as Director of Manufacturing Operations and Procurement for Stuart Energy Systems Corporation, an alternative energy company. From 1993 to 2001, Mr. Corey held various engineering and supply chain management positions with Pratt & Whitney, a world leader in the design, manufacture and support of aircraft engines. From 1982 to 1993, Mr. Corey held various construction and electrical project management, estimating, bid preparation, superintendent and supply chain management positions with construction and electrical firms.
Steven Jones Corporate Controller
Steven Jones joined Solar Integrated in February 2006 as Corporate Controller. With over 20 years of accounting, management reporting and internal controls experience, Mr. Jones is responsible for all of the Company s control functions. Prior to joining Solar Integrated, he held various accounting positions for Keystone Automotive Industries, Inc. (NASDAQ: KEYS), the leading U.S. distributor of aftermarket automobile collision replacement parts, from 1999 to February 2006, including as Corporate Controller and previously as Accounting Manager. From 1981 to 1999, Mr. Jones held progressively responsible positions as assistant controller, accountant and cost accountant at Federal Mogul, American United Global and Hutchison Seal.
EUROPEAN OPERATIONS
Klaus B. Schuer Managing Director, Solar Integrated Technologies GmbH
Klaus Schuer has worked with Solar Integrated in April 2005. He was initially sub-contracted to perform a wide range of tasks including project planning, project management, client liaison and the set up of Solar Integrated Technologies GmbH, Solar Integrated s wholly owned German subsidiary. Mr. Schuer was appointed as the Prokurist of Solar Integrated Technologies GmbH in 2005 and as its Managing Director in April 2006. Prior to joining Solar Integrated, Mr. Schuer managed Ingenieurbuero Schuer, a consultancy firm he founded in 1998 that provided construction supervision, project management, financial control, and feasibility studies. From 1998 to 2005, Mr. Schuer led a number of major construction projects including West German Bank of Real Estate - EUR 25 mil (2000), Römerpassage shopping mall Mainz - EUR 30 mil (2003), Sinn-Leffers shopping mall Mainz - EUR 7.5 mil (2003), and Taubertsbergbad swimming pool and sauna complex - EUR 19 mil (2004). In addition to these major projects, Mr. Schuer was responsible for the planning, installation and project management of a number of PV installations. From 1993 to 1998, Mr. Schuer was a construction supervisor at K. Gemuenden GmbH & Co.KG, a German construction company. From 1988 to 1993, Mr. Schuer was an officer of Tischleder GmbH, a German construction company. He has been a significant factor in the success of Solar Integrated s European operations to date. Mr. Schuer is a graduate in civil engineering in the field of electro technology (specializing in digital and inverter technologies) from the University of Applied Sciences in Wiesbaden. Mr. Schuer is fluent in German and English.
Bart Van Ouytsel Vice President, European Sales & Marketing
Bart Van Ouytsel joined Solar Integrated as Vice President, European Sales and Marketing in February 2007. Prior to joining Solar Integrated, Mr. Van Ouytsel was President & General Manager, Hydrogen Generation Division, Hydrogenics Corporation, an alternative energy company, from 2005 to January 2007. Prior to the acquisition by Hydrogenics Corporation of Stuart Energy Systems Corporation in 2005, Mr. Van Outystel was Vice President and Managing Director, Europe for Stuart Energy Systems Corporation (and a predecessor company, Hydrogen Systems) from 2000 to 2005. During the period from 2000 to January 2007, Mr. Van Ouytsel had profit and loss, sales and operating responsibility for a $20 million annual revenue business with approximately 75 employees. From 1994 to 2000, he served as the Managing Director and Vice President, Sales and Marketing for Pentair Europe, a water treatment company, and as Vice President, Operations from 1988 to 1994. From 1978 to 1988, Mr. Van Ouytsel held various sales and operations management roles in the building materials industry, food industry and automotive industry. Mr. Van Ouytsel holds a graduate degree in electronic engineering and graduated from the Vlerick Leuven Ghent Management University in Advanced Management. Mr. Van Ouytsel works out of the Company s German office and speaks Dutch, German, English and French.
